This Schedule forms part of the Rev-Raise Master Client Terms and applies where your Engagement includes implementation of The Deliberate Sale into an organisation or a Site. Defined terms have the meaning given in clause 1 of those Terms.
Implementation is a Method Line deliverable. It is separate from the Licence in Schedule E and from the Enablement Services in Schedule H, and it is separately priced.
1.1 Implementation is the work of getting The Deliberate Sale operating as your standard. It is a project with a start, a scope and an end.
1.2 It is not the Licence. The Licence is the ongoing right to operate the standard. Implementation is the work of putting it in.
1.3 It is not the Enablement Services. Those are what keep it running afterwards.
1.4 There are two kinds:
(a) Organisation Implementation: the first install, which establishes the standard for the whole organisation. (b) Site Implementation: bringing a new or additional Site onto the established standard.
Unless your Proposal states otherwise, Organisation Implementation runs in six phases.

2.1 Phase 2 comes before Phase 4 and that order is not negotiable. We watch before we teach. A standard designed without seeing the floor is a generic course.
2.2 Phase 3 output is licensed to you under Class 3 of Schedule D. It is your playbook, perpetually, for internal use, and you keep it if the Licence ends.
2.3 Phase 5 output is licensed under Class 4. Facilitator materials are licensed to the Site, not the person, and end when the Licence ends.
3.1 A new Site joins an established standard. It does not repeat Phases 2 and 3.
3.2 Site Implementation covers:
(a) mapping the Site against the established standard; (b) training the Site's consultants and managers; (c) accrediting a Facilitator for that Site under Schedule I; (d) establishing the Site's baseline for reporting; and (e) a local validation, being at least one observed session and one review of the Site's first reporting period against the standard, before Site Implementation Sign-Off, so that a network standard is not installed into a materially different Site untested; and
(f) Site Implementation Sign-Off.
3.3 The Site Implementation fee is stated in your Proposal and is charged once per Site.
3.4 We will complete Site Implementation within 30 days of your written notice that a Site is opening, subject to the delivery day cap in Schedule H.
4.1 For Organisation Implementation:
4.2 You must provide these within 5 Business Days of each request. Where we are waiting, the timeline extends by the period we are waiting.
4.3 Where required attendance does not occur, we will run the session for whoever attends and record the gap in the Register. Repeating a session for absentees is charged as a delivery day.
5.1 Implementation is complete when your Authorised Representative signs the Implementation Sign-Off confirming that:
(a) the standard is documented and mapped to your business; (b) the required people have been trained; (c) managers have been trained to hold it; (d) a Facilitator is accredited at each Site where the model applies; and (e) the baseline is signed and reporting has started.
5.2 What sign-off triggers:
(a) the Licence fee commences, or the free period in your Proposal begins; (b) the Enablement Services under Schedule H commence; (c) the measurement period under Schedule F commences; and (d) implementation is recorded as complete in the Register.
5.3 Deemed sign-off. Where we request sign-off and you do not respond within 10 Business Days, despite at least two written reminders, sign-off is deemed on the 10th Business Day and clause 5.2 applies from that date, provided that each item in clause 5.1 has been met or is listed as an immaterial outstanding item in the sign-off request, you have had the opportunity to observe the standard operating, we have responded to every defect or gap you reported in writing, and the delay was not caused by us. We will confirm it in writing on the day.
5.4 Outstanding items do not prevent sign-off where the standard is operating. They stay on the Register until delivered.
6.1 For 30 days after Implementation Sign-Off, we will fix, at no charge, anything delivered that does not match the documented standard.
6.2 That covers run sheets that do not match the playbook, materials with errors, and training that omitted a documented element.
6.3 It does not cover new requirements, changes to your products or pricing, or a change of mind about the design agreed in Phase 3.
6.4 Where we cannot tell whether something is a defect or a new requirement, we treat it as a defect.
7.1 If you cancel during implementation, phases recorded as complete in the Register are earned and are not refundable. Work in progress on an incomplete phase is charged at the proportion actually completed, assessed reasonably and shown to you. The balance is refunded within 14 days.
7.2 If we cannot continue, we refund the full value of every phase not completed, within 14 days, and provide the documentation for completed phases so another provider can continue.
7.3 Where you are unresponsive for 30 days despite at least two written follow-ups, we may close the engagement, and clause 7.1 applies. We will give 10 Business Days written notice first.
7.4 On cancellation before Phase 3 is complete, no Client Playbook has been created and no Class 3 licence arises. Where Phase 3 is complete, the playbook is yours under Class 3 whether or not implementation finished.
8.1 Implementation fees are stated in your Proposal, separately from the Licence fee and the Enablement Services fee.
8.2 They are payable as stated in your Proposal.
8.3 All amounts are in Australian dollars and exclusive of GST.
